By accessing or using the Modern Day VA website located at ModernDayVA.com (the “Site”) or any of the services provided by Modern Day VA (“we,” “us,” or “our”), you agree to be bound by these Terms of Use (“Terms”). Please read them carefully before using our Site or services.
If you do not agree to these Terms, you must not access or use our Site or services. Your continued use of the Site following any updates to these Terms constitutes your acceptance of those changes.
These Terms apply to all visitors, registered users, employers, and candidates who access or use our services in any capacity.

Our Services
Modern Day VA is a virtual staffing platform that connects businesses (“Employers”) with remote professionals (“Candidates”) across a range of roles including Virtual Assistants, Executive Assistants, Operations Managers, Graphic Designers, Account Managers, and Web Developers.
Our services include:
– Job posting and candidate shortlisting services for Employers
– Concierge hiring services including sourcing, screening, interviewing, and placement
– Candidate profile creation and job application services for remote professionals
– Access to our talent network for both US-based and Philippines-based remote professionals
– Membership plans for ongoing hiring needs
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

User Accounts
To access certain features of our Site, you may be required to create an account. When creating an account, you agree to:
– Provide accurate, current, and complete information
– Maintain and promptly update your account information
– Keep your password confidential and not share it with any third party
– Notify us immediately of any unauthorized use of your account
– Take responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or have been inactive for an extended period.

Employer Terms
JOB POSTINGS & HIRING
Employers using our platform agree to post only genuine, legitimate job opportunities. All job descriptions must be accurate and not misleading. We reserve the right to remove any posting that we deem inappropriate, inaccurate, or in violation of these Terms.
PLACEMENT FEES
Employers agree to pay all applicable placement fees as outlined on our Pricing page at the time of purchase. Fees are due upon engagement of our services. All fees are in USD unless otherwise stated.
DIRECT EMPLOYMENT
Once a placement is made, the employment or contractual relationship is solely between the Employer and the Candidate. Modern Day VA is not a party to, and accepts no liability for, any employment arrangement, compensation disputes, or contractual matters that arise between Employers and Candidates following placement.
REPLACEMENT GUARANTEE
Our replacement guarantee applies only to qualifying placements as specified in your service agreement. The guarantee does not apply if the placement fails due to factors outside our reasonable control, including changes to the role scope, business closure, or mutual agreement between employer and candidate to end the arrangement.
NON-CIRCUMVENTION
Employers agree not to directly solicit, hire, or engage any Candidate introduced through Modern Day VA outside of our platform for a period of 12 months from the date of introduction, without paying the applicable placement fee.

Candidate Terms
PROFILE ACCURACY
Candidates agree to provide truthful, accurate, and complete information in their profiles, resumes, and any communications with Modern Day VA and prospective Employers. Misrepresentation of qualifications, experience, or availability may result in immediate removal from our platform.
VETTING PROCESS
By applying to roles or creating a profile on our platform, Candidates consent to our vetting process, which may include interviews, skills assessments, and reference checks conducted by our team.
MEMBERSHIP
Candidates who subscribe to our Pro membership agree to the subscription terms at the time of sign-up, including billing cycles and cancellation policies. Free trial periods are limited to one per individual.
CONDUCT
Candidates agree to conduct themselves professionally in all interactions facilitated through our platform. Any conduct that damages the reputation of Modern Day VA or its Employer clients may result in removal from our network.

Payments & Fees
All fees for our services are listed on our Pricing page and are subject to change. By purchasing any paid service or subscription, you authorize us to charge the applicable fees to your chosen payment method.
– All payments are processed securely through our third-party payment provider
– Fees are non-refundable except where required by law or expressly stated in your service agreement
– Subscription fees are billed on a recurring basis until cancelled
– Cancellations must be made before the next billing cycle to avoid being charged for the following period
– We are not responsible for any fees charged by your bank or payment provider

Acceptable Use
You agree not to use our Site or services to:
– Post false, misleading, or fraudulent content of any kind
– Harass, threaten, or harm any other user, candidate, or member of our team
– Collect or harvest personal data from other users without their consent
– Introduce malware, viruses, or any other harmful code to our systems
– Attempt to gain unauthorized access to any part of our platform or systems
– Use automated tools to scrape, crawl, or extract data from our Site
– Violate any applicable local, national, or international law or regulation
– Use our platform for any purpose other than legitimate hiring or job-seeking activity
Violation of our acceptable use policy may result in immediate account suspension and, where applicable, legal action.

Intellectual Property
All content on this Site — including but not limited to text, graphics, logos, images, and software — is the property of Modern Day VA or its content suppliers and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any content on our Site without our prior written consent.
By submitting content to our platform (such as a candidate profile or job posting), you grant Modern Day VA a non-exclusive, royalty-free licence to use, display, and distribute that content in connection with providing our services.

Disclaimers
Our Site and services are provided on an “as is” and “as available” basis. While we take care to vet all candidates in our network, Modern Day VA does not guarantee the accuracy, completeness, or suitability of any candidate for any particular role.
We do not guarantee that:
– Our services will meet your specific requirements in every instance
– Our platform will be uninterrupted, timely, or error-free at all times
– Any candidate placed will remain in their role for any particular duration
– Results obtained through our services will meet your individual expectations
Any reliance you place on information provided through our platform is at your own discretion and risk.

Limitation of Liability
To the fullest extent permitted by applicable law, Modern Day VA and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — our services.
Our total liability to you for any claim arising from your use of our services shall not exceed the total amount paid by you to Modern Day VA in the three months preceding the claim.
Nothing in these Terms limits our liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

Termination
We reserve the right to suspend or terminate your access to our Site and services at any time, with or without notice, if we reasonably believe you have violated these Terms or engaged in conduct harmful to other users, candidates, employers, or Modern Day VA.
You may close your account at any time by contacting us. Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

Governing Law
